TOSMS Boardroom Services

Pillar 7: Ethics, Environmental and Social Responsibility

  • Formalize, internalize and continually adapt company values to meet evolving modern day norms using our Code of Business Ethics Framework.

  • Create a comprehensive understanding by the board and executive team of the company culture and ensure its alignment with stated principles and values through a combination of qualitative and quantitative monitoring and regular feedback.

  • Integrate efforts on ethics, environmental and social responsibilities into the business architecture for optimum board and excutive team governance.

As societies’ expectations of fair and responsible behaviour shift, the governing bodies of organisations need to adapt their principles and values and the ethical standards that support them.

It is the board and executive teams' attitudes and behaviours, and those of the staff, suppliers and partners that must meet these modern-day norms and comply with company standards and the regulations that uphold them.

The ethics of the company, including its social and environmental responsibilites, are derived from the principles and values established by the board, and are reflected in the culture of the organisation, formed in large part by the behaviours and attitudes of the the board, executive team and senior management.

Keeping a finger on the pulse of the company's culture is essential for ensuring alignment with these norms set by the governing body. A comprehensive understanding of the culture, a multi-faceted approach to monitor and identify where the potential gaps are that put the company at risk, and ongoing alignment efforts, is a fundamental cornerstone of the Integrated Governance Framework (IGF) that we help our clients achieve through our Code of Business Ethics Framework.

Social media plays a significant role in driving public opinion on these issues so the views circulating in the public domain about how organisations are upholding these norms is important as their credibility and reputation could be impacted overnight. This is one of the facets of the approach for monitoring the culture that we deal with.

Our consultants are experienced in assessing the gaps in the perceptions and expectations of the different stakeholder groups on a wide range of environmental, social and ethics issues, along with driving changes to resolve them using the Code of Business Ethics Framework we provide.

With the recent focus on climate change reporting, we have integrated the requirements of the new UK Companies Act regulations into the seven pillars of our IGF to provide our clients with a sustainable solution covering every operating model that upholds the moral footprint of the organisation, reduces cost, complexity and risk and helps identify opportunities that this change creates.
