Pillar 4: Governance Oversight and Secretariat Solution

  

The Corporate Secretarial function is well developed and has many outstanding tools that provide the full administration services for a boardroom. There are just a few potential major issues with how it works. Firstly, what is missing is its full integration into the rest of the business architecture that TOSMS provides for seamless delivery of governance by the board and executive team. It is therefore key that the existing practices, standards and tools in use are able to be integrated into the seven pillars of the Integrated Governance Framework to achieve full digitization, integration and automation of this aspect of the Boardroom Oversight and Secretariat Solution.

Secondly, the role of the company secretary must be redefined in the context of an Enterprise Mission Control Centre, the primary purpose of which is the oversight of the enterprise mission. In the absence of this facility, the Company Secretary attempts to bridge the gap but this has the potential of compromising what is required from a fully engineered solution that incorporates all seven pillars. There are many areas of specialisation here that are not the remit of the Company Secretary.
